Because the internal modem has its own serial port. So you must
disable the onboard serial port in order for the system to recognize
the one in the modem.

There could be several reasons why COM2 won't open. I suspect that it
may have something to do with IRQ assignments. Although, this may not
be true in light of the OS that you are using, of which I know very
little. The usual setup is COM1 IRQ4, COM2 IRQ3, COM3 and COM4,
usually IRQ5. Unless you are using LPT2, which uses IRQ5.
