Most likely cause is some other piece of software blocking or interfering
with it.
Open Task Manager and close all software. Particularly any antivirus
software. You should disconnect from internet while you do this. Also
ensure that Windows native firewall (I don't know if W2K has one) is disabled.
Alternatively, you could try installing it in Safe Mode.
