I've seen this symptom on a PII/350 Desktop (Win98se).
The Advance Power Management Support (APM)
version 1.2 was not compatible with power
management in the older BIOS.

The fix was to force APM version 1.0 in
Device Manager found in Advance Power
Management properties or upgrade the BIOS.
