I figured it out. Sorry for the premature posting. The problem was the APM not selected in XP. I had already done all of the other things I know about for shut down, but didn't check this one. Set that up and it shuts the computer down just fine. Now if I could just figure out why the Num Lock goes off again when Win XP loads...
