I can't hellp directly, except to mention that the conflict
should go away if you could free up one of the existing ISA
slots.

If there is a free PCI slot, the ISA sound card could be replaced with
one of the newer PCI sound cards. I've seen them for as little as
$40, mail order.

The other possibility is replacing the internal ISA modem with an
external modem.
