Sorry I don't have much more to contribute on the solution, but here is one
from my experience.
My last motherboard Asus P2L-B gave me horrendous trouble with Win98 SE
shutdown. Tried the disable fast shutdown, shutdown patch, and most of the
other hints from Microsoft. Still I was never able to get my system to
consistently shut down. Although if I booted to Linux, I was always able to
get my system to power off.
I bought a different Asus p2-99 for higher processor support and more
expansion slots. It was like a whole different story. I did not reinstall
windows, I let it just detect and do its own thing, as they were so very
close hardware wise. It almost always shuts down now.
