This will happen (I know from experience) if there is something in the
startup routines that call for a program in the SYSTEM32 folder, but that
program is not actually there. You can use MSCONFIG to look for any startup
commands and check if they exist. Once you find the offending one, simply
delete that registry entry or command line. Another utility that makes it
easier to find is AUTORUNS that is available as freeware.
