According to my system, (WinME) the file belongs in the \Windows\System folder. Microsoft has some
info on how to solve this problem here:
http://support.microsoft.com/default.aspx?scid=KB;en-us;q243431
They basically suggest replacing the file with a known good copy. If your copy is corrupt, just type
msnp32.dll
into any search engine and you'll find a site to download the file. hth
