George,
You need to modify the config.sys file on the floppy so that the:
DEVICE=C:\WINDOWS\HIMEM.SYS
line reads like:
DEVICE=HIMEM.SYS
This will cause your machine to look for the file in the root directory
of the floppy.  Hope this helps.
