If you go over to microsoft.com and click on "Support," then do a search
for "shutdown," you will pull up a document on this issue, which describes
a 15-point procedure for tracking the problem down.  Print it out, then
follow the instructions.

If all 15 tests fail to isolate the problem, consider that you might have a
faulty video card.  This happened to me last year; my Matrox Mystique 220
card went flaky on me,and the first symptom was a shutdown failure.  I
didn't know it then, and it wasn't till the card failed completely  and had
to be replaced that I realized it had been the cause of my shutdown problem.
