Nothing is left open on shut down. All windows are closed, no programs
running, except for background stuff like Norton's.

I had this problem in W2K. It had to do with whatever I left open on
shutdown, even if it was a controlled shutdown.
To rid the problem, I had to search the Registry for null entries and delete
them. There should only be a few of them. If they had no entry in a key, I
deleted the key that dealt with that operation. I can look up notes and get
specific if you need more info.
Yes it was a nuicance. A reminder who was in charge of this machine and a
testimony as to what you will do to stop the brief nuicance. Ha.

The windows that open on startup are "My Computer" style - the exact same
thing.
Trying process of elimination, I deselected "Scanreg" under msconfig -
Startup. The problem stopped. This seemed to be the source, except that it
came back several days later. "Scanreg" was still deselected.
