Just because the drives are spinning and the fans are blowing does not mean
your getting the power good signal to the board. ATX power supplies are a
bit funny dealing with sleep mode or APM. Try disabling the APM in CMOS,
connect just the juice to the board, no sensors or any other exotic
connector it may have, jump the switch, it could very well be bad.

Just reseating the memory might not be enough, try other memory and see what
happens.
