Solution to Q1: you can't create boot disk with win2k (or win ME) to do the
BIOS flash, you'll need to get a empty floppy disk and use it from a
win95/98 machine or a win 3.1/DOS machine, at DOS prompt, type "sys a:",
this will create a pure DOS boot disk which has enough space to add the new
BIOS file and flash program.

Solution to Q2: disable onboard com2 port in BIOS, that will clean the
conflict.
