I believe that you mean that the old CPU is compatible with the new 
motherboard but that the old heat sink and fan are not compatible with 
the new motherboard. Buying a new heat sink and fan from the same source 
as your new motherboard should assure a compatible product. Other than 
that, you can search the Internet for retailers of your motherboard and 
buy a compatible heat sink and fan from one of those retailers. A lot of 
retailers offer combination purchases of motherboard/CPU/heat sinks/fans 
so you can determine the compatible products before purchasing just the 
heat sink and fan.
