I have the same problem, different configuration (AMD K6-2/300; 128MB PC100; Tyan S1590S; 10GB IBM HD; AOpen CD-ROM; ATI Rage Pro and Canopus Pure 3D II; Win98; IE4).  I reinstalled Win98 and the manufacturers drivers, with a reboot after each set of drivers, to identify the problem.  In my case, loading the drivers for the Pure 3D II started the "failure to reboot properly" situation.

Are you using Adaptec's DirectCD with your CDRW?

My immediate suggestion is to switch video drivers back to plain Microsoft-supplied VGA and see if the problem goes away.  If this helps, you know the culprit. If this doesn't help, try uninstalling DirectCD.
