Sounds like an IRQ conflict or some resource conflict. Could also be a bad
PCI slot, problem with the PCI bus, lots of things. But, it's most likely
software.

Here's what I'd do.

Remove the Ethernet card from Device Manager, then remove it physically.
Leave the modem in.

Boot.

Does Windows detect the modem and install it successfully?

Reboot. Is the modem _still_ there?

If so, shut down and place the Ethernet card in the _same_ PCI slot from
which you removed it.

What happens when you boot. Does Windows detect the PCI Ethernet card? If
so, install the drivers. Reboot. Is the modem gone? Is the Ethernet card
gone? Do either have the "dreaded" exclamation point?

If not, run for awhile. If the problem occurs again, try swapping PCI slots.
Also, make sure the cards sit in the slots nice and firm and screw the slot
covers into the chassis.
