    I've seen this type of thing before, but it's been a while.  It sounds
like something that is loading in Windows is remaining in memory (like a
virus scanner) and is not being cleared out.  I'd like you to try (unless
you already have) booting-up, while holding-down the "Shift" key (either
one).  As soon as the cursor appears, press and hold the shift key, until
the computer seems to have finished trying to load any programs.  Then go
ahead and "Restart" the computer, and see if it will.  If it does, you will
have to go through the arduous task of loading each program in your
"StartUp" group - one at a time, then restarting - to see which one is
hanging around in memory.  Don't forget to hold the "Shift" key each time
you reboot, until you find the culprit!  No guarantees that you will find it
that way, as it could be something that loads through the system registry -
ouch!

P.S.  It could also be something that is in your CONFIG.SYS file, but that
would still have to be a conflict with something that loads after the first
time you have done a complete boot-up proceedure.  Good luck and let me know
