FIC VA-503+ (Socket 7) motherboard approximately $67 plus S/H
AMD K6-2 450MHz CPU approximately $90.00 delivered Retail w/ fan/heatsink.

With this board you may use your current RAM until you wish to upgrade.

The motherboard is Baby AT form factor, has both AT and ATX power connectors
on it.
It has 4 SIMMs and 2 DIMMs so that takes care of the memory part.  1 AGP, 4
PCI, 3 ISA.  ( thought it was 2 ISA, at any rate.... It may fit your
existing case depending on what you have.

http://www.tomshardware.com rated it very favorably quite awhile back.
I have used several of these with no failures.
