Jun, First could you post your Autoexec.bat and config.sys files so we can see
what is executing from there?  

Have you tried activating your Bootlog and seeing if there is a clue there?  I
have used a freeware program Bootlog Analyzer to help determine long boot
times.  At <http://www.winfiles.com/>www.WinFiles.com the program is described
as:

"Looks at your Windows95 BOOTLOG.TXT file and calculates the time taken to
load
each driver etc, in order to help in locating any cause of lengthy boot-up
times. The displayed result can be sorted by loading duration, filtered to
show
only those items with long durations or which reported failure, and saved to a
text file."
