Floppy disks do not use fat32 or even fat16, for that matter. They use fat12
because it is more efficient given the small capacity of the disks. No
conversion is necessary. You can just copy them directly to a zip or cd-r
drive. Win2K reads fat32, anyway, it's win9x that can't read NTFS.
