I've had similar problems with conextant winmodems.  Seems they work 
best when installed with the original cd/software with win 98se.  My 
advice is to watch the sales, pick up a new modem (win98se compatible) 
for $5-$10 (or free after rebates) and see what happens.  I've spent 
hours trying to install, reinstall, delete & reload drivers, etc.   
Could also be a dead modem.   Staples stores were clearing out US 
Robotics external 56k modems a few weeks ago for about $22.
