Sounds like what's happening is that as it gets a little hotter the fans are speeding up to provide more cooling.  With the side panel off it doesn't heat up as much so the fans run slower and more quietly.  Given what setup the box originally had, ventilation and excessive heat were not a problem.  The new processor is 400% faster, and runs much hotter. You could buy a newer case with more ventilation fans, or you could do a case mod on the side panel by putting a hole in it for a fan, or you could buy a cheap fan that fits in one of the drive bays or in one of the expansion slots, or both.  You can find these items at a good price at www.cyberguys.com.  Lastly, and most cheaply, leave the side panel off, but be sure to clean dust from the inside every week or so.
