Sounds like you want to have all your files afterwards.  

You will probably have to reinstall all your applications anyway so why not just
install NT on C:, afterwards, format d: to NTFS and then copy all your stuff.  

Its good to have a small C: partition just in case you need to boot to dos and
edit boot.ini
