I'm not sure whether this will help, however; I had a
similar problem with an
IWILL m'board about 2 years ago.  All wires--including the
power supply--appeared
to be in their proper places and making connections.  Like
yours, power supply and
hard disk spooled up (You didn't mention if the memory count
occurred; it did not
occur in my situation.).  In my case, it was an AT power
supply (I suspect yours is
ATX, and this may not apply.) and the power leads were not
snapped down tightly
enough to the board.  I reattached them, making certain they
snapped down firmly,
and the computer booted without incident.  You may want to
investigate this connection.

As for the inability to power off, the ATX cases often have
2 power switches.  I'm
guessing here, but perhaps one enables/disables the soft
power-off feature?

This reinforces my suspicion that you don't have good power
supply connection.
