A retail box carries the manufacturers guarantee while a OEM does not. The
OEM is guaranteed by the vendor for a set period of time. An Intel
representative told me last December that they will not replace a OEM CPU
should it fail.
That said I buy OEM CPUs....it is extremely rare for a CPU to fail under
normal operating conditions and if there is something wrong with the chip
the flaw should reveal itself in the first 48 hours.
