I don't think that's quite right.  The Win98SE upgrade was a strange,
one-of-a-kind upgrade that cost $19 as I remember.  I think that's why it
doesn't work as a qualifying product.  All the other upgrade cd's will work
as a qualifying product for the next version, ie, Win98 upgrade cd or the
Win2k upgrade CD should work. Your friend may have been trying to use that
$19 cd as his qualifying product.
