Did you search your system for it with windows explorer? If it's not found, you could probably copy it from another computer and place it in your c:\windows\system32 folder and be good to go. My system shows it as a small file, about 40kb, dated 8/23/2001. Apparently, it allows you to execute the dfrgfat.exe or dfrgntfs.exe programs, which were updated 4/13/2008 in a service pack.

I'm running XPpro, SP3 + many updates. I can't defragment because of a missing file.
"C:\WINDOWS\system32\dfrg.msc " I was told to do a repair with my original CD.
It comes up for several things to do, BUT no repair. Has anyone done a repair & can help me?? Many thanks, Al Smith
