There are three types of Win-ME CDs currently available retail.
A full version "may" not install on a drive with the Operating system
already installed. (There are ways around that but I do not have a
full version and can't try them...)
The other two versions require either an existing installation of Windows
98 or a Win98 CD to use as proof of ownership for the Step-Up (~$50),
or for an UpGrade CD (~$80) "other, lesser" proof for the install...  Hope this helps.
The Win-ME CD (step-up version at least) comes with a manual that
is exceptionally helpful with this and other questions...
Before you switch, find out if any of your hardware is not compatible.
My biggest problem so far was my UltraDMA33 (and some 66s) controller
card(s).
Many software "utility" type programs are not "Win-ME" ready, and
will need to be replaced...   (Lots of Norton stuff, and Ghost...)
Seems like drivers using USB are also a "candidate" for updating
(my scanner needed them...)
