To clarify, the file that won't delete is on your computer, not an 
external drive, and the drive is formatted as FAT32.
Boot off any Windows 98 floppy, and using DOS commands navigate to 
the directory where the file is located. Once there, remove any 
system attributes attached to the file like this, assuming this is on 
your C drive.

attrib -h -r -s -a  c:\path\your.file

then making sure you are in the directory where the file is, ...delete it
del your.file

You might also want to do the same thing to the recycle bin

attrib -h -s -r c:\recycled
deltree /y c:\recycled
