Windows 98 is essentially a way to get all the fixes and improvements
to Win 95 in one convenient package, so it's probably worth it on
that score, although there are still some stability and compatibility
problems that I hope will get worked on, if not out, by the time it's
released. And yes, there *is* more to it than just IE 4.0 and OSR2.
It includes some features, such as support for multiple monitors,
that may not sound like much to start with but are really nice to be
able to work with.

I'd been running it for months on a Cyrix 166+ with 32 MB RAM. I
recently upgraded to 64 MB, and it's been running better. The minimum
requirement is a 486/66 with 16 MB, so your system will definitely
work with it.
