The Update and Upgrade versions will go over Win98SE.
A full version will require a clean install unless you trick it
into not noticing you have Windows now.

A different way to look at your question might be to answer
that if your drivers are either supplied with WinME, or supported
by WinME a clean install might be better. (Clean installs are
always better if your hardware gets proper support...)

If, on the other hand, your hardware needs to "grandfather"
a driver from your old stuff on your hard drive you could be in
trouble.

The only safe way to be sure is to make a complete back-up
and try it.
