I am running WIN98 SE, 128 Megs RAM

I tried to run ScanDisk and have this error message:

ScanDisk has restarted 10 times because Windows or another
program has been writing to this drive.  Quitting some running
programs may enable ScanDisk to finish sooner.

No program is running, including Virus Protection.

What is the next step that I should take.
