  I had an issue with one of my servers that sounded similar to this.  The 
problem turned out to be with Automatic Updates.

  What was happening was that the machine had downloaded an update that, for 
some reason, was failing to install.  And so every night, Automatic Update 
would try again to install it, fail, and reboot the machine as it would have 
to to complete a successful installation.

  Fixing it involved two steps:

1.  Installing the update manually via IE|Tools|Windows Update.

2.  Changing the Automatic Updates setting to download updates as they 
become available, but only install them when told to do so.
