Run your WIN98 startup disk and navigate to your CD drive, change directory
to I386 (CD I386) ad type WINNT, the setup for XP should start  running.

It sounds like you are trying to run setup after booting to a DOS prompt.
I've never tried this, but I don't think it will work.  You would need to
either make startup diskettes, or boot from the CD.  More information on
exactly what steps you are taking to do the installation would be extremely
helpful.
