I checked the Microsoft web site and learned that it is a hardware 
problem.  Removed the NIC and modem cards and XP loaded just fine.  
Reinstalled the cards and they work ok. I'm not sure which card was 
causing the problem, but the machine is working ok now. Thanks for the help!
