You can't upgrade a Pentium 3 to a Pentium 4. The sockets and chipsets are
incompatible.

To upgrade, you will need to get a new motherboard that supports the
Pentium 4. Some things you may be able to move from the old to the new
motherboard.

1.) Disk (fixed and removeable)
2.) PCI cards
3.) AGP video cards

The following things will need to be changed as they will not support the
Pentium 4.

1.) Power supply (different power requirements, and special 4 pin ATX
connector). Depending on your computer case, it may not support a new power
supply, and may have inadequate cooling.
2.) Memory, your Pentium 3 likely uses SDRAM, and any new motherboards will
require DDR RAM.

Unless you are familiar with building PC's at this level, or have someone
close by who is, I suggest you purchase a whole new system if you want to
upgrade.
