Thanks to those who helped me sort out the exclamation point trouble in
device manager! (Turns out it was caused by the addition in autoexec.bat
of a cd line to allow me to install windows on a new, replaced HD.)

Now I have no exclamation points in device manager, but the system still
freezes. Its not heat, the case is open. I have been told the lock-ups
are most likely because of a bad motherboard. The board is a ASUS KN97-X,
with on board SB Vibra 16.

My question is, how does one know a lock up is a MB problem, and then
convince ASUS this is the problem?

Thanks,
Tom Sykora
