It seems you should start at square 1.  Did you change any jumpers or other
settings on the hardware when you attempted to install it in another
machine?

Can you get the machine to work properly without the modem?  With the modem
removed from the machine, do the exclamation points go away in the system
view?

Start at the beginning, and rebuild one step at time, making sure that the
computer works properly after each step in the rebuild.  Once you have found
a condition that causes an error, attempt to determine why the error exists.
