David,

A WinXX full install includes a boot diskette with all the files
you will need.  If you do not have the disk available, then
you can use any windows 9x boot disk.  Just make sure
it includes the correct version of format.exe AND the
drivers for your CD-rom.

One last thing -- it may just be a typo in your message, but
 there should be a space between the colon and the slash
in the command
FORMAT C: /s
