Dharam,

Unfortunately not all celerons can be overclocked.  Your video card should
not be a problem if you set the AGPCLK\ CPUCLK in the BIOS to 2/3.   Check
out this site which has information on overclocking the celeron and other
processors, including successes and failures.  If you are really concerned
about your ram they have two free ram testers available that should help you
check it out.
