This is a well known windows 98 bug
here is a windows shutdown troubleshooting page that should help you:

there is a link one that page to microsoft's shutdown articles.
There is also a microsoft patch that occasionally will work.
  Here is a link to the so called "VXD" fix:

There is allot of controversy whether this is a real fix or not,
as described here: http://windows-help.net/techfiles/vmm32.html
I may get flamed for this, but I'm not totally convinced this is a valuable
patch, but I don't think it will hurt
if done properly from safe mode.
From my experience shutdown problems are many times a video driver problem,
 or some program that isn't shutting down properly.
