I don't know about W2K, but I have seen this several times using Win95.  My solution was to "delete" the modem, go to Control Panel and use "Add New Hardware", selecting "com ports".  Let Windows search for new com ports (you need to have com2 disabled on the bios).  Then, reboot.  Upon restart, Windows should tell you it's found new hardware, the new com4 and the modem.  This may or may not work on W2K.

  The problem is that windows says I don't have enough resources to operate
it on COM4. When I uninstall COM2 in BIOS, COM4 is no longer
recognized.  What I have been able to do is uninstall through the device
manager.  If I do this, when I re-boot, COM2 is re-installed by PnP.
Any ideas? I've run out.
