I would guess you have a com port conflict that isn't showing up.
if you have a ps/2 mouse and no other serial devices, disable
com 1 and com 2 in bios, that will free up some resources.
Also you might boot in safe mode and remove duplicate ports/devices.
You can also try the modem in a different slot if possible.

Subject: [PCBUILD] COM Port Troubles

I am working on a friend's PC.  When trying to dial out on the modem, an
error stating that the COM port is already in use pops up.  I have tried
reinstalling the modem, installing a different modem, making sure there are
no IRQ conflicts, etc.  I have tried COM1 through COM4 with the same
results.
