If it is DW.exe then it could be either of two programs, both of which run
in the background.

The first comes with MS Office XP and is a descendant of Dr. Watson, the
error trapping and reporting tool for MS Office applications.

The second program is more likely the culprit.  There is a program called
DownloadWare with the DW.exe executable that is loaded by an ActiveX
control on some web sites. If you say "yes" when it asks if it can load the
program, it will actively download advertisements to your PC.  It
configures itself to start when the computer is booted.  You can read more
