  I'm guessing that you have one or more IE windows still open, right?

  In IE, go to Tools|Internet Options|Connections.  About halfway down the
box is a set of "radio buttons" specifying when IE should automatically
launch the dialer.  (Personally, I have it set to "Never dial" and always
launch it manually, but one of the other choices is "Dial whenever no
connection is present" and that sounds like what you're describing....)
