Is it a typo that you have both COM2 and COM1 on IRQ3?
Is the USR INT FAX PnP using COM1? (IRQ4 is standard for COM1.)
If you're not using COM2 for anything, you could disable COM2
in the BIOS and free up IRQ3.
Are you using any USB devices? If not, you could disable the USB
controller (in the BIOS and then in Win98) to free up IRQ 10.
Then you could set one of your free PCI slots to use IRQ 10.
The new NIC may require a dedicated IRQ. If it does, you won't
be able to share an IRQ.
