It's because this PCI modem may be using a technology similar to HSP (Host Signal Processing)in which case the host CPU is being utilized to do whatever is lacking in the modem itself. I think the minimum would be a 166MMX CPU. You might notice that this modem is has fewer components than a regular ISA modem.
