Although you did not mention the motherboard or CPU, I have seen this
behavior before with the VIA chipset and AMD CPUs.  Typically, it is not
a regular problem, but it does occur in Windows98.  Here are a few things
you can try that may solve the issue:

1)  Update the VIA drivers for the motherboard by downloading the newest
      drivers from VIA:  http://www.viatech.com/drivers/index.htm
2)  Change the memory setting on the modem driver so that it is at least
       five memory addresses away from any other drivers in both direction
3)  Download and install the latest modem drivers

The only other cures I have seen on a Windows98 machine when this starts
is to either format and reload Win98, though the problem usually resurfaces
later or switch out the modem to a ISA.   This is a problem between WIndows98
and the VIA chipset.
