If you have a previously installed version on your drive (or a failed
attempt) this could be corrupting things. I would re-format and start fresh.
Are you able to take a full directory of your cd from DOS? I have had
problems of not being able to fully read a cd with an improperly installed
cd. If so, re-format and try a fresh install again. You should not need to
upgrad. Good Luck.
