Hi Dennis

On the surface, it sounds like your motherboard BIOS is not recognizing the
QX6800 processor. (That is, the BIOS doesn't contain microcode for the
QX6800.)

Asus implies that BIOS 2302 contains the "latest" microcode. See
<http://preview.tinyurl.com/yve5as>). (I don't see mention of a 2303 BIOS.)

Are your RAM memory settings at the default level? Do you have the CPU fan
set to run at Max speed? Maybe you presently have some BIOS setting that
is wrong. Or maybe your memory is not entirely up to spec for running
your new processor. (Have you tried using just one memory module, that is,
just 1 GB? Try each of your four modules separately to eliminate any
problem with one or more of them. Is PNY even officially supported for
this motherboard? Maybe your new processor has pushed you past your RAM's
operating threshold...)

I'm not familiar with your motherboard, so I can't really suggest anything
other than returning the BIOS settings to default (with the P4 installed of
course) and then flashing to a different BIOS version. (Maybe there's a bug
in the 2303 BIOS. Maybe the QX6800 would work with 2302, or some later
BIOS version.)

Or maybe none of these BIOS versions yet support the QX6800. Can you find a
BIOS setting to *turn off* CPU updates (that is, loading of microcode 
updates)?
If the BIOS doesn't recognize the QX6800, it might be shutting down the
CPU aftere it can't update it.

Look for any posts reporting similar problems to yours.
